Platform Access and Usage Agreement

Agreement

This Platform Access and Usage Agreement is entered into by and between Pointgenie LLC, doing business as Eryon ("Eryon," "we," "us," or "our"), and the entity or individual accessing or using Eryon ("Customer," "you," or "your"). By creating an account, accepting an order form, clicking to accept these terms, joining a plan, or otherwise using Eryon, you agree to this Agreement.

The Eryon service

Eryon provides a cloud-based service for persistent AI memory, governed knowledge, project context, model access, and agent connectivity. The service may include web applications, APIs, SDKs, dashboards, Cognitive MCP access, documentation, and related tools.

Access and account security

Subject to this Agreement, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable right to access and use Eryon for your internal business or personal use, based on your plan and applicable limits.

• You are responsible for maintaining the confidentiality of your account credentials, API keys, agent tokens, and connected service credentials.
• You are responsible for all activity under your account and for ensuring that your users comply with this Agreement.
• You must promptly notify us of any actual or suspected unauthorized access to your account, API keys, or agent credentials.

Restrictions

You may not, and may not permit any user or third party to, misuse Eryon or the underlying technology.

• Do not resell, sublicense, rent, lease, distribute, or provide unauthorized access to Eryon.
• Do not reverse engineer, decompile, disassemble, scrape, probe, scan, or attempt to derive source code or non-public system details, except where allowed by law.
• Do not bypass usage limits, security controls, plan restrictions, review gates, or access scopes.
• Do not upload unlawful, deceptive, infringing, harmful, malicious, or prohibited data.
• Do not use Eryon to build a substantially similar or competing service through unauthorized copying, benchmarking, or competitive analysis.

Customer content, inputs, and outputs

You retain ownership of the content you submit to Eryon, including prompts, inputs, files, memories, project data, task data, connected service data, and outputs generated through the service. You grant Pointgenie LLC the rights needed to host, process, transmit, display, secure, and otherwise use that content to provide and support Eryon.

• You are responsible for the accuracy, legality, quality, and appropriateness of your content.
• AI-generated outputs may be inaccurate, incomplete, or unsuitable for your use case; you are responsible for reviewing and verifying outputs before relying on them.
• Inputs may be shared with third-party AI providers or connected services as needed to generate outputs or provide the requested feature.

Plans, fees, and payment

Eryon may offer free, paid, usage-based, and enterprise plans. Fees, limits, quotas, overages, and renewal terms are described on the pricing page, in checkout, or in an applicable order form. Fees are non-refundable except as expressly stated in an order form or required by law.

Third-party services and AI tools

Eryon may connect to third-party services, model providers, payment processors, infrastructure providers, and AI tools. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, and your use of those services remains subject to your agreements with them.

Suspension and termination

We may suspend or restrict access to Eryon if we believe your use violates this Agreement, creates security or operational risk, may subject us or others to liability, or interferes with reliable service operation. Either party may terminate access as provided by the applicable plan, order form, or law.

Proprietary rights and feedback

Pointgenie LLC retains all right, title, and interest in Eryon, including the service, technology, documentation, performance data, aggregated data, improvements, and related intellectual property. If you provide feedback, suggestions, or ideas, we may use them without restriction or obligation to you.

Confidentiality and data security

Each party may receive confidential information from the other and must use reasonable care to protect it. We use reasonable technical, organizational, and administrative safeguards designed to protect information processed through Eryon, but no internet or cloud service can be guaranteed to be fully secure.

Disclaimers and limitation of liability

To the maximum extent permitted by law, Eryon is provided "as is" and "as available." Pointgenie LLC disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free results. To the maximum extent permitted by law, Pointgenie LLC will not be liable for indirect, incidental, consequential, special, punitive damages, lost profits, or damages arising from AI outputs or third-party services.

Governing law

These terms are governed by the laws of the United States and the applicable state law selected by Pointgenie LLC or stated in an applicable order form, without regard to conflict of law principles.
